Overview
“We”, “us” and “our” refer to Eagle Office Products & Printing. These Terms of Sale apply to orders by purchasers via the internet, telephone, fax, email, or in person at our store (“you” or “Customer”), unless Customer and Eagle Office Products and Printing have entered into a separate written agreement that applies to an order for specific products.
By purchasing something from us, you agree to be bound by the following terms and conditions (“Terms of Sale”, or “Terms”).
If you do not agree to the Terms, do not make a purchase.
We reserve the right to update, change or replace any part of these Terms of Sale by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued purchases following the posting of any changes constitutes acceptance of those changes.
Section 1 – Online Store
By agreeing to these Terms of Sale, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You must not transmit any worms or viruses or any code of a destructive nature.
You may not probe, scan, or test the vulnerability of any Eagle Office Products & Printing site or breach any security or authentication measures.
You may not collect any personally identifiable information from users of the Eagle Office Products & Printing site or use any such information found on the Eagle Office Products & Printing site
You may not use a third party’s credentials, conceal your true IP address, or otherwise impersonate or misrepresent your identity or affiliation with any person or entity
You may not use the Eagle Office Products & Printing site to determine whether a third party holds any type of account, or to learn about or verify information about the account that is not yours
A breach or violation of any of the Terms will result in an immediate termination of your account.
Section 2 – General Conditions
We reserve the right to refuse sales/service to anyone for any reason at any time.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
Section 3 – Accuracy, Completeness and Timeliness of Information
We are not responsible if information made available on this site or in our materials is not accurate, complete or current. Our materials are provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material is at your own risk.
Any historical information provided is not current and is provided for your reference only. We reserve the right to modify the contents of our materials, but we have no obligation to update it. You agree that it is your responsibility to monitor changes to our site.
Section 4 – Modifications to Product Offerings and Prices
We reserve the right at any time to modify or discontinue product offerings (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of a product offering.
Prices for our products are subject to change without notice. Verbal quotes are non-binding. Unless otherwise indicated, quotes are valid for the lesser of 30 calendar days, the end of the calendar quarter, or the end of the rebate/promotion period on included items.
High customer demand and supplier production and delivery schedules may result in backorders. Anything ordered that is not available to us and backordered will not be delivered with your original order. Backordered items will be indicated as such on your invoice by the blank in the shipped column next to the item description. You will be billed for the back-ordered items when they are shipped. If an item has an extended out-of-stock status or is discontinued, we will attempt to find a comparable product for you.
Section 5 – Orders, and Products and Services
You can place an order via telephone, our website, fax, and email. When ordering, please provide as many part numbers as possible. It will help prevent order errors. If you need help finding an item in the catalog or if you would like training on ordering through our website, please call customer service. All items will be sold in manufacturers ‘standard packaging and quantities.
Orders placed before 5:00 p.m. CST will receive next-business-day service. Orders placed after 5:00 PM CCST, on weekends, and holidays might be delayed a day.
We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that any printed material or your computer monitor’s display of any color will be accurate.
We reserve the right, but are not obligated, to limit the sales of our products to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. Any offer for any product made on this site is void where prohibited.
We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors will be corrected.
Section 6 – Accuracy of Billing and Account Information
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
Payment; can be made in cash (at our location), or by check, credit card, and via terms. All invoices are due within 30 days from the invoice date. Payment for any purchase made via terms will be due within 10 days of when you receive your statement. If you chose to pay your terms statement with a credit card, we will impose a convenience fee of 3.5% on the transaction amount, which is not greater than our cost of acceptance.
Any payment by check that returned for any reason will be subject to a $50.00 fee. Any payment more than 16 days past due may be subject to a finance charge of 1 ½ % (18% per annum). Any other payment terms requested will have to be approved in advance in writing by management.
Eagle Office Products & Printing has a 30-day from the date of delivery return policy. Items returned over 30 days will not receive credit. Product must be returned in its original packaging, in resalable condition, within thirty days of the delivery date in order to receive full credit. Some items may be subject to a restocking fee. Please use the online return form or send a copy of the invoice along with the product. If your return is accepted we will arrange to pick up your return the next time our driver makes a delivery in your area. If the product is located outside of our regular delivery area or we are unable to pick it up, return shipping charges may apply. Once we have received the product and inspected, a credit will be issued to your account. There are no returns for food and beverage items, medicine/first-aid items, special order items, product amount shortages not reported to us by you within 7 days, assembled furniture, ink/toner cartridges, and special-order furniture. In demand items purchased during a pandemic, civil emergency, civil unrest or promotion are not eligible for return/refund. Other select items may be designated as non-returnable on our webstore.
Section 7 — Printing and Graphic Design:
We require proof approval before sending a printing or graphic design order to press. After approval, you are liable for any fees or charges incurred for printing charges, subsequent changes or errors found, and for the finished product. Any item designed or layout setup by us or our designee on our behalf is our property unless specifically released or sold to you in writing.
Section 8 – Delivery
We offer free, next-business-day delivery on most items ordered before 5:00PM Central Time. If you need something by a specific time, please call customer service. We will attempt to route the drivers to meet your needs. Scheduled delivery times cannot be guaranteed but will be attempted. If there is an item broken or missing from your order and it is not noted on your packing slip please notify us immediately. Our regular delivery area is approximately 50 miles from our office in Round Rock, TX. This includes most of Williamson and Travis counties as well as some of Bell County. Shipping charges may apply to small orders, heavy items, furniture, and some other situations. Shipping charges will apply to special orders and custom items where we incur incoming freight.
Section 9 – Assembly
Furniture that does not require assembly will be processed for delivery in the same manner as other products. Furniture that requires assembly will be scheduled for delivery at a mutually agreeable time for all parties. We will contact you to set a delivery date. There will be no extra charge for delivery for small furniture that can be made as part of our regular delivery process (for example, no stairs or removal of old furniture). Major installs will require an assessment to determine installation charges. Assembled furniture is considered a final sale and is non-refundable and non-returnable. Our employees are not allowed to remove or handle any type of electrical equipment. Additionally, they are not allowed to remove any structure that may interfere with the delivery (i.e. doors, stair rails, fixed wall shelves, etc.). If your merchandise requires a stair carry, there will be an additional charge. Please notify your sales representative for a quote before ordering. Mounting boards or surfaces will always be quoted on a case by case basis. Please contact your account manager or customer service.
Section 10 – Personal Information
The information you provide us is used to contact you and provide our products and services to you. Any of this information shared with third parties (like an internet service provider) is to assist us to with providing our products and services to you and is subject to confidentiality. We do not rent, sell, or lease your information to any third party. Your information may be disclosed to government authorities or other third parties when required or permitted by law, including, but not limited to, in response to court orders and subpoenas. We also may disclose user information in connection with investigations or when we have reason to believe that someone is causing injury to or interference with our rights or property.
Section 11 – Errors, Inaccuracies and Omissions
Occasionally there may be information on our site or in our materials that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in our materials or on any related website are inaccurate at any time without prior notice (including after you have submitted your order).
We undertake no obligation to update, amend or clarify information in our materials or on any related website, including without limitation, pricing information, except as required by law. No specified update or refresh date applied in our materials or on any related website, should be taken to indicate that all information in the materials or on any related website has been modified or updated.
Section 12 – Disclaimer of Warranties; Limitation of Liability
We do not guarantee, represent or warrant that your use of our products and services will be uninterrupted, timely, secure or error-free.
We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
In no case shall Eagle Office Products & Printing, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party’s policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
Section 13 – Indemnification
You agree to indemnify, defend and hold harmless Eagle Office Products & Printing and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Sale or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
Section 14 – Severability
In the event that any provision of these Terms of Sale is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Sale, such determination shall not affect the validity and enforceability of any other remaining provisions.
Section 15 – Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Sale are effective unless and until terminated by either you or us. You may terminate these Terms of Sale at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Sale, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Section 16 – Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Sale shall not constitute a waiver of such right or provision.
These Terms of Sale and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Sale).
Any ambiguities in the interpretation of these Terms of Sale shall not be construed against the drafting party.
Section 17 – Governing Law
The laws of the State of Texas apply to everything relating to Eagle Office Products & Printing’s and the Eagle Office Products & Printing Site’ relationship to you. This means that any and all disputes, claims and controversies arising out of or relating to the Eagle Office Products & Printing Site, including the sale of products, content, services, or technology, on or used through the Eagle Office Products & Printing Site, shall be governed by and construed exclusively in accordance with the laws and decisions of the State of Texas applicable to contracts made, entered into and performed entirely therein, without giving effect to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
